Terms and Conditions for Online Payment for Availing the Service(s)

By clicking the checkbox and proceeding with the payment, You (“You” meaning the individual user or the entity represented by such individual, also referred to herein as the “Customer”, “Your” or “User”) confirm and agree that these Terms and Conditions (“Terms”) govern Your access to and use of the online payment facility provided by Smartping AI Pvt. Ltd. (“Company”, “We”, “Us”, or “Our”). By accessing the payment platform and initiating a payment by clicking the checkbox to proceed, You acknowledge that You have read, understood, and agreed to be bound by these Terms. You further expressly consent to the collection, processing, storage, and use of Your payment information and related personal data by the Company and its authorized payment service providers, strictly in accordance with these Terms and Our Privacy Policy, and as required under applicable laws.

  • 1. Acceptance of Terms:

    By initiating a payment through Our online payment facility, You acknowledge and agree to be bound by the Terms and Conditions, as amended from time to time at Our sole discretion. It is Your responsibility to review the Terms prior to each payment, and continued use of the payment facility shall constitute Your deemed acceptance of the updated Terms. Any changes to the Terms will be notified on Our website and shall become effective immediately upon posting, unless otherwise specified. In the event of any inconsistency or conflict between these Terms and any other communication, policy, or document relating to the payment facility, the Terms as published on Our website shall prevail.

  • 2. Payment Gateway:

    Payments are not processed directly on Our website. You will be securely redirected to a third-party payment gateway to complete the transaction. The Company has engaged PayU Payments Private Limited (PayU), a payment service provider authorized to process online transactions, as its authorized payment service provider. All payment data shall be processed exclusively and securely by PayU in accordance with applicable laws and industry standards.

    For Clarity, PayU is a third-party service provider, and the Company shall not be responsible and/or liable for any technical issues, failures, delay, interruption, error, omission, or breaches arising from or attributable to PayU’s system, network, or services. Any disputes, chargebacks, or issues relating to payment processing shall be resolved directly between You and PayU, subject to applicable laws.

  • 3. Accepted Payment Methods:

    You may make payments using the following methods, subject to availability on the payment gateway and applicable laws/regulations:

    1. Credit/Debit Cards (including Visa, MasterCard, and other card networks as enabled)
    2. Net Banking through participating banks
    3. Unified Payments Interface (UPI)
    4. Digital Wallets and prepaid instruments authorized by the Reserve Bank of India (RBI)
    5. Any other mode as may be listed and enabled on Our payment portal from time to time

    Disclaimer: The availability of the above payment methods is subject to the policies and technical infrastructure of the payment gateway, card issuer, bank, or service provider. The Company shall not be liable for the temporary or permanent unavailability of any particular payment method or for any failure, delay, or error attributable to third-party payment systems.

  • 4. Transaction Charges:

    Transaction or convenience fees, where applicable, will be displayed at the time of making the payment. These charges are non-refundable and shall be borne solely by the payer, unless expressly stated otherwise in writing by the Company. Your service account will be credited only with the net settlement amount actually received by Us from the payment gateway or bank, after deduction of any applicable transaction or convenience fees/charges. The Company shall not be responsible for any fees, charges, or deductions levied by banks, card issuers, payment gateways, or other intermediaries in connection with the transaction.

  • 5. Payment Confirmation:

    Upon successful completion of a payment, a digital receipt or confirmation will be generated by the payment gateway and delivered to Your registered email address and/or mobile number, as available in the system records. Such a receipt shall serve as conclusive evidence of payment. You are strongly advised to retain this confirmation for Your records and for any future reference or dispute resolution. The Company shall not be responsible for any delay or failure in the delivery of such confirmation caused by incorrect contact details provided by You, technical issues at the payment gateway, or failures in telecommunication networks. In the event of any discrepancy between the confirmation received by You and the Company’s internal records, the Company’s records shall be final and binding.

  • 6. Refund and Cancellation Policy:

    Payments once made are generally non-refundable. Refunds will only be entertained under the following circumstances:

    Refunds will only be considered for:

    1. Duplicate payments: where the same transaction has been processed more than once.
    2. Excess payment: where an amount greater than the invoiced/required sum has been paid.
    3. Failed transactions: where the payment has been debited from Your account but the service was not rendered, subject to applicable banking and gateway guidelines.

    All refund requests must be submitted in writing to Our customer care team within seven (7) calendar days from the date of the transaction, together with relevant proof of payment. Refund claims submitted after this period shall not be considered.

    If a refund request is approved, the refund will only be processed to the original source of payment (e.g., the same bank account, card, wallet, or UPI ID used for the transaction). The refunds shall not be made to any alternate account, instrument, or method of payment. The actual credit of the refund amount shall be subject to the timelines, policies, and processing cycles of the relevant bank, card issuer, or payment gateway, and the Company shall not be responsible for any delay beyond its reasonable control. No refunds shall be permitted in cases where the services have been partially availed, utilized, or consumed by the Customer.

    The Company’s decision with respect to the validity and approval of any refund request shall be final and binding on the Customer.

  • 7. Service Activation and Renewal:

    Service(s) will only be activated or renewed upon the Company’s receipt of a successful and confirmed payment through the authorized payment gateway or banking channels. Payments that are pending authorization, declined, failed, charged back, reversed, or otherwise not successfully settled into the Company’s designated account shall not entitle the Customer to activation, renewal, or continuation of Services.

    In the event of any payment reversal, chargeback, or dispute raised by the Customer with their bank, card issuer, payment gateway, or any third party, the Company reserves the right to immediately suspend or terminate the Services without notice, until such time as the matter is resolved and the payment is duly received by the Company.

    Notwithstanding the above, the Customer shall remain liable to pay for all Services availed, consumed, or utilized up to the date of suspension or termination, including any applicable fees, charges, or taxes.

  • 8. Security:

    We employ industry-standard encryption protocols and security practices to safeguard Your transaction. We do not collect, store or retain any payment-related Personally Identifiable Information (PII), including but not limited to card numbers, CVV codes, or UPI credentials, or net bankings passwords, on Our servers. All payment details are captured, transmitted, and processed exclusively through Our authorized payment service provider, PayU, in compliance with applicable laws and regulatory guidelines.

    For clarity, while the Company takes reasonable measures to ensure secure transactions, it shall not be held responsible for any security breaches, data leaks, or unauthorized access occurring at the end of the payment gateway, bank, card issuer, or other third-party service providers beyond the Company’s reasonable control.

    Customer Responsibility: You are solely responsible for maintaining the confidentiality of Your payment credentials, including OTPs, passwords, PINs, and any other authentication information. You must ensure that such details are not disclosed to any unauthorized person. The Company shall not be liable for any unauthorized transaction arising from negligence, mishandling, or compromise of Your credentials.

    Customer Notification: You must promptly notify the Company in writing of any unauthorized transaction, suspected security breach, or misuse of Your payment credentials. Failure to notify the Company within a reasonable period may limit or extinguish any claim or remedy available to You under these Terms or applicable law.

  • 9. Liability Disclaimer:

    We shall not be responsible for or liable for any loss, damage, or inconvenience arising out of or in connection with:

    1. Payment failures resulting from incorrect information, erroneous input, or connectivity/network issues on the Customer’s end.
    2. Unauthorized transactions carried out using Your credentials (including but not limited to OTPs, PINs, passwords, or access codes).
    3. Delays, interruptions, or failures caused by technical issues, system downtime, or banking/payment network disruptions beyond the Company’s reasonable control.
    4. Errors, inaccuracies, or omissions in data entry, including incorrect account details, payment amounts, or other information provided by the Customer during the payment process.

    For clarity, the risk of incorrect, incomplete, or unauthorized transactions initiated using the Customer’s credentials shall rest solely with the Customer.

    To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, punitive, or consequential damages (including loss of profits, loss of data, business interruption, or reputational loss) arising from or in connection with the use or inability to use the online payment facility, even if the Company has been advised of the possibility of such damages.

  • 10. Modification/Amendment of Terms:

    We reserve the right to change, amend, or update these Terms at any time, at Our sole discretion, without prior notice. Any such modifications will become effective immediately upon being published on Our website or payment portal, unless stated otherwise.

    Your continued access to or use of the Service(s) after the effective date of any modifications shall constitute Your acknowledgement and agreement to be bound by the revised Terms. If You do not agree to the updated Terms, you must immediately discontinue the use of the online payment facility.

  • 11. Third-Party Payments and Authorization:

    All payments made for Your Service(s) account shall be deemed to have been made by You, the registered Customer, irrespective of whether such payments are initiated directly by You or by a third party with access to the payment portal.

    By allowing/permitting a third party to make a payment on Your behalf, you represent and warrant that such third party has been granted full, valid, and legal authorization by You to use chosen payment method. The Company shall treat any such payment as duly valid, authorized, and binding on You.

    We expressly disclaim any liability or responsibility for disputes, chargebacks, or claims arising between You and such third party in relation to the payment. No refunds shall be issued by the Company in connection with any such disputes, and the Customer shall remain solely responsible for resolving the matter with the concerned third party.

    You further agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, and affiliates from and against any claims, losses, liabilities, damages, costs, or legal actions (including reasonable attorney’s fees) arising out of or in connection with the unauthorized, fraudulent, or improper use of third-party payment instruments for payments made to the Company.

  • 12. Dispute Resolution:

    All payments made and any disputes, claims, or controversies arising out of or in connection with the use of the online payment facility shall be governed by and construed the accordance with the laws of India. The courts located in New Delhi; India shall have exclusive jurisdiction over all such matters.
